I can recommend Bob Randolph without reservation for those needing assistance of his caliber in resolving complex business, financial and legal questions requiring judgment, creativity and a sense of fairness.I was the chair of an independent “Fairness Committee” advising a global equity company (“the Company”) on the fairness, from the perspective of its minority interest holders, of a debt for equity transaction of almost $100 million involving majority shareholders of the Company who had borrowed money from a third party Lender and who wished to satisfy their debt obligations to the Lender by transferring shares in the Company to the Lender. Bob Randolph was selected to serve on the “Fairness Committee” because of his skills in international business, diplomacy and conflict resolution. He brought his keen sense of judgment to the process, along with an ability to work collegially through an incredibly complex set of issues and problems to craft a creative solution that protected and satisfied the interests of the Company, the Lender, minority interest holders and the Borrowers.
